PUBLIC CONTRACT
for ordering, purchasing, and delivering goods
This contract is an official and public offer from the Seller to enter into a purchase agreement for the Goods presented on the website https://printopia.com.ua.
This contract is public, meaning that according to Article 633 of the Civil Code of Ukraine, its terms are the same for all buyers, regardless of their status (individual, legal entity, or individual entrepreneur) without giving preference to one buyer over another. By entering into this Agreement, the User/Buyer fully accepts the terms and conditions for placing an order, paying for goods, delivering goods, returning goods, liability for bad-faith orders, and all other conditions of the agreement. The contract is considered concluded from the moment the "Confirm Order" button is pressed on the checkout page in the "Cart" section and the Buyer receives order confirmation in electronic form.
1. Definition of Terms
1.1. Public Offer (hereinafter referred to as the "Offer") – a public proposal from the Seller, addressed to an unlimited number of people, to enter into a purchase agreement with the Seller remotely (hereinafter referred to as the "Agreement") under the terms specified in this Offer.
1.2. Goods – the subject of the transaction between the parties, which has been selected by the Buyer on the online store's website and added to the cart or already purchased from the Seller remotely.
1.3. Online Store – the Seller’s website at https://printopia.com.ua, created for the conclusion of retail and wholesale purchase agreements based on the Buyer's review of the Goods offered by the Seller through the Internet.
1.4. User/Buyer – a legally capable individual who is at least 18 years old, receives information from the Seller, places an order to purchase goods presented on the online store’s website for purposes not related to entrepreneurial activity, or a legal entity or individual entrepreneur.
2.1. The Seller undertakes to transfer ownership of the Goods to the Buyer, and the User/Buyer undertakes to pay for and accept the Goods under the terms of this Agreement.
2.2. The date of conclusion of the Offer Agreement (acceptance of the offer) and the moment of full and unconditional acceptance of the terms of the Agreement by the Buyer shall be considered the date on which the Buyer fills out the order form located on the Online Store's website, provided that the Buyer receives confirmation of the order from the Seller in electronic form. If necessary, at the request of the Buyer, the Agreement may be drawn up in written form.
3. Placing an Order
3.1. The User/Buyer independently places an order in the Online Store through the "Cart" form or by placing an order via email or by calling the phone number listed in the "Contacts" section of the Online Store.
3.2. The Seller has the right to refuse to transfer the order to the Buyer if the information provided by the Buyer during the ordering process is incomplete or raises suspicions about its accuracy.
When placing an order on the Online Store's website, the User/Buyer agrees to provide the following mandatory information necessary for the Seller to fulfill the order:
3.3.1. Buyer's surname and first name;
3.3.2. Address for delivery of the Goods (if delivery is to the Buyer's address);
3.3.3. Contact phone number.
3.4. The name, quantity, article number, and price of the Goods selected by the Buyer are indicated in the Buyer's cart on the Online Store's website.
3.5. If either Party to the Agreement requires additional information, they have the right to request it from the other Party. If the Buyer fails to provide the necessary information, the Seller is not responsible for providing a quality service to the Buyer when purchasing Goods from the Online Store.
3.6. When placing an order through the Seller’s operator (Clause 3.1 of this Offer), the User/Buyer undertakes to provide the information specified in Clauses 3.3 – 3.4 of this Offer.
3.7. Acceptance of the terms of this Offer by the Buyer is carried out by entering the relevant data in the registration form on the Online Store's website or by placing an order through the operator. After placing an order through the operator, the Buyer's data is entered into the Seller's database.
3.8. The User/Buyer is responsible for the accuracy of the information provided when placing an order.
3.9. By entering into the Agreement, i.e., accepting the terms of this offer (proposed terms of purchasing the Goods) by placing an order, the User/Buyer confirms the following:
a) The User/Buyer has fully read and agrees to the terms of this offer;
b) They consent to the collection, processing, and transfer of personal data. The consent to the processing of personal data is valid for the entire duration of the Agreement, as well as for an unlimited period after its termination. Additionally, by entering into the Agreement, the User/Buyer confirms that they have been informed (without additional notification) of their rights under the Law of Ukraine "On Personal Data Protection," the purpose of data collection, and that their personal data is transferred to the Seller for the fulfillment of the terms of this Agreement, settlement of mutual payments, and for receiving invoices, acts, and other documents.
4. Price and Delivery of Goods
4.1 The prices of Goods and services are determined independently by the Seller and are indicated on the Online Store's website. All prices for Goods and services on the website are listed in Ukrainian Hryvnia (UAH) including VAT.
4.2 Prices for Goods and services may change unilaterally by the Seller depending on market conditions. However, the price of an individual unit of Goods, which has been fully paid for by the Buyer, cannot be changed unilaterally by the Seller.
4.3. The cost of the Goods listed on the Online Store's website does not include the delivery cost to the Buyer. The cost of delivery is paid by the User/Buyer according to the current tariffs of the delivery service (carrier) directly to the selected delivery service (carrier).
4.4. The cost of the Goods listed on the Online Store's website does not include the cost of delivery to the Buyer's address.
4.5. The Seller may provide an estimated delivery cost of the Goods to the Buyer's address upon the Buyer's request by sending an email or when placing an order through the Online Store's operator.
4.6. The Buyer's payment obligations for the Goods are considered fulfilled when the funds are received in the Seller's account.
4.7. Payments between the Seller and the Buyer for the Goods are made using the methods specified on the Online Store's website in the "Payment and Delivery" section.
4.8. Upon receiving the Goods, the User/Buyer must check, in the presence of the delivery service (carrier) representative, that the Goods comply with the specified quality and quantity characteristics (product name, quantity, completeness, expiration date).
4.9. The User/Buyer or their representative, upon receiving the Goods, confirms by signing the sales receipt, order form, or transport invoice for delivery of the Goods that they have no claims regarding the quantity, appearance, or completeness of the Goods.
4.10. Ownership rights and the risk of accidental loss or damage to the Goods pass to the Buyer or their Representative upon receipt of the Goods at the place of delivery when the Goods are picked up directly from the Seller or upon transfer of the Goods by the Seller to the delivery service (carrier) chosen by the Buyer.
5. Rights and Obligations of the Parties
5.1. The Seller is obliged to:
5.1.1. Transfer the Goods to the Buyer in accordance with the terms of this Agreement and the Buyer's order.
5.1.2. Not disclose any private information about the Buyer and not provide access to this information to third parties, except in cases provided by law and in the process of fulfilling the Buyer's Order.
5.2. The Seller has the right to:
5.2.1 Change the terms of this Agreement, as well as the prices of Goods and services, unilaterally by publishing them on the Online Store's website. All changes take effect from the moment they are published.
5.3 The User/Buyer undertakes to:
5.3.1 Before concluding the Agreement, familiarize themselves with its content, terms, and prices offered by the Seller on the Online Store's website.
5.3.2 To enable the Seller to fulfill its obligations to the Buyer, the Buyer must provide all necessary data that clearly identifies them as the Buyer and is sufficient for the delivery of the ordered Goods.
6. Return of Goods
6.1. The User/Buyer has the right to return non-food goods of proper quality to the Seller if the goods do not satisfy them in terms of shape, dimensions, style, color, size, or other reasons that prevent them from being used as intended. The User/Buyer has the right to return goods of proper quality within 14 (fourteen) days, excluding the purchase date. Returns are accepted if the item has not been used and retains its original condition, consumer properties, packaging, seals, labels, and the receipt provided to the Buyer for payment of the Goods. The list of goods that cannot be returned under the conditions of this clause is approved by the Cabinet of Ministers of Ukraine.
6.2. The refund for goods of proper quality is processed within 30 (thirty) calendar days from the moment the Seller receives the returned Goods, provided that the requirements set forth in Clause 6.1. of the Agreement and the applicable laws of Ukraine are met.
6.3. The refund is made via bank transfer to the Buyer's account.
6.4. The return of Goods of proper quality to the Seller’s address is at the Buyer’s expense and is not reimbursed by the Seller.
6.5. If defects are discovered within the warranty period, the User/Buyer has the right to submit claims to the Seller as provided by the Law of Ukraine "On Consumer Rights Protection".
6.6. The Seller is not responsible for defects that arise after the transfer of the Goods due to improper use or storage by the Buyer, third-party actions, or force majeure.
6.7. The User/Buyer cannot return customized Goods that were made to their individual specifications.
6.8. Returns are made to the address listed in the "Contacts" section of the website.
7. Liability
7.1. The Seller is not responsible for any damage caused to the Buyer or third parties as a result of improper installation, use, or storage of the Goods purchased from the Seller.
7.2. The Seller is not responsible for improper or untimely fulfillment of Orders and its obligations if the Buyer has provided false or incorrect information.
7.3. The Seller and the User/Buyer are responsible for fulfilling their obligations in accordance with the current legislation of Ukraine and the provisions of this Agreement.
7.4. The Seller or the User/Buyer is released from liability for full or partial failure to fulfill their obligations if such failure results from force majeure circumstances such as: war or military actions, earthquake, flood, fire, or other natural disasters that occurred beyond the control of the Seller and/or Buyer after the conclusion of this Agreement. The Party that is unable to fulfill its obligations must immediately notify the other Party.
8. Confidentiality and Personal Data Protection
8.1. By providing their personal data on the Online Store's website during registration or when placing an Order, the User/Buyer voluntarily agrees to the processing, use (including transfer) of their personal data, as well as other actions provided by the Law of Ukraine "On Personal Data Protection," without limitation on the duration of such consent.
8.2. The Seller undertakes not to disclose the information received from the Buyer. It is not considered a violation for the Seller to provide information to contractors and third parties acting under an agreement with the Seller, including for the fulfillment of obligations to the Buyer, as well as in cases where the disclosure of such information is required by the current legislation of Ukraine.
8.3. The User/Buyer is responsible for keeping their personal data up to date. The Seller is not responsible for poor performance or failure to fulfill its obligations due to outdated or inaccurate information about the Buyer.
9. Other Terms
9.1. This Agreement is concluded within the territory of Ukraine and operates in accordance with the current legislation of Ukraine.
9.2. All disputes arising between the Buyer and the Seller shall be resolved through negotiations. If a dispute cannot be resolved through negotiations, the User/Buyer and/or the Seller have the right to seek resolution through the judicial authorities in accordance with the current legislation of Ukraine.
9.3. The Seller has the right to unilaterally amend this Agreement as provided in Clause 5.2.1. Additionally, amendments to the Agreement may be made by mutual agreement of the Parties in accordance with the procedures established by the current legislation of Ukraine.
